These Terms & Conditions ("Terms") govern your access to and use of the V-Chat mobile application and web application (the "Service"), provided by Future Vision ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

V-Chat is a WhatsApp gateway and CRM tool that lets you connect WhatsApp accounts, send and receive messages, organize contacts, schedule messages, and run messaging campaigns. We are an independent product and are not affiliated with, endorsed by, or sponsored by WhatsApp LLC or Meta Platforms, Inc. Your use of WhatsApp through V-Chat is also subject to WhatsApp's own terms.

2. Eligibility & accounts

• You must be at least 16 years old (or the minimum age in your country) to use the Service.
• You are responsible for the accuracy of your registration details and for keeping your password and API keys secure.
• You are responsible for all activity under your account and any team members you invite.
• Notify us immediately at [email protected] of any unauthorized use.

3. Subscriptions, trials & billing

• The Service is offered on a subscription basis, priced per connected WhatsApp session plus optional add-ons. Current pricing is shown in the app.
• New accounts may receive a free trial with limited features. At the end of the trial, continued use requires a paid subscription.
• Paid subscriptions are billed in advance through Stripe and renew automatically until canceled.
• You can cancel at any time; access continues until the end of the current billing period. Except where required by law, fees are non-refundable.
• We may change pricing with reasonable prior notice; changes apply to the next billing cycle.

4. Acceptable use

You agree not to use the Service to:

• Send spam, unsolicited bulk messages, or any messaging that violates WhatsApp's policies or applicable anti-spam laws.
• Message people who have not consented to be contacted, or who have opted out.
• Distribute malware, phishing, fraud, or unlawful, harassing, hateful, or infringing content.
• Violate the privacy or rights of others, or collect data without a lawful basis.
• Reverse-engineer, resell, overload, or attempt to gain unauthorized access to the Service.
• Breach any applicable law or third-party terms, including those of WhatsApp/Meta.

You are solely responsible for the content of the messages you send and for obtaining any required consent from recipients. We may suspend or terminate accounts that violate these rules or that put the Service or other users at risk.

5. WhatsApp accounts & bans

Connecting an automation or third-party tool to WhatsApp may, in some cases, lead WhatsApp to restrict or ban the connected number. You use the Service at your own risk, and we are not liable for any action WhatsApp takes against your account, including bans, blocks, or data loss.

6. Your content & data

You retain all rights to your messages, contacts, and CRM data ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate the Service for you. You represent that you have all rights and consents needed for Your Content and for messaging your recipients. Our handling of personal data is described in our Privacy Policy.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Future Vision and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You may not copy, modify, distribute, or create derivative works except as expressly permitted.

8. Third-party services

The Service relies on third parties (including WhatsApp/Meta, Stripe, Google, and Apple). We are not responsible for their availability, terms, or actions. Your use of those services is governed by their respective terms.

9. Service availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may modify, suspend, or discontinue features at any time. We may perform maintenance that temporarily limits access.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that messages will be delivered, that the Service will meet your requirements, or that it will be secure or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Future Vision will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or WhatsApp account restrictions. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 3 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Future Vision from any claims, damages, or expenses arising from your use of the Service, your content, your messaging activity, or your breach of these Terms or applicable law.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully. On termination, your right to use the Service ends and we may delete your data as described in the Privacy Policy.

14. Governing law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the courts of the United Arab Emirates, unless mandatory local law provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. We will post the new version here and update the "Last updated" date. Continued use after changes take effect means you accept the revised Terms.
